3. Service Engagement and Acceptance
3.1 Engagement Process
Services commence upon execution of a separate service agreement or statement of work. These Terms of Service supplement, but do not replace, specific project agreements.
3.2 Client Obligations
You agree to:
- Provide accurate and complete information necessary for service delivery
- Cooperate with our team and provide timely feedback
- Maintain confidentiality of proprietary methodologies and insights
- Pay fees in accordance with agreed payment terms
4. Fees and Payment Terms
4.1 Fee Structure
Service fees are detailed in individual service agreements. Unless otherwise specified, fees are quoted in Australian Dollars (AUD) and exclude GST where applicable.
4.2 Payment Terms
- Invoices are payable within 30 days of issue date
- Late payment may incur interest charges at 10% per annum
- Disputed invoices must be raised within 30 days of issue
- We reserve the right to suspend services for overdue accounts
4.3 Expenses
Reasonable travel and accommodation expenses required for service delivery will be charged at cost with prior client approval.
5. Intellectual Property Rights
5.1 Our Intellectual Property
All methodologies, frameworks, templates, and proprietary content used in our services remain the intellectual property of PATMAC Solutions. Clients receive a non-exclusive license to use deliverables for their internal business purposes only.
5.2 Client Information
Clients retain ownership of their confidential information and data. We may use de-identified insights and learnings for service improvement and case study purposes, subject to confidentiality obligations.

All content on our website is protected by copyright and may not be reproduced or distributed without express written permission.
6. Confidentiality and Data Protection
6.1 Mutual Confidentiality
Both parties agree to maintain strict confidentiality of all proprietary and sensitive information disclosed during the engagement. This obligation survives termination of services.

7. Limitation of Liability

- Indirect, consequential, or incidental damages
- Loss of profits, revenue, or business opportunities
- Costs of substitute services or solutions
- Data loss or system downtime
7.3 Liability Cap
Our maximum liability for any claim is limited to the total fees paid by the client in the 12 months preceding the claim, or AUD $100,000, whichever is lower.
7.4 Consumer Law
Nothing in these terms excludes, restricts, or modifies any guarantee, condition, warranty, or right conferred under Australian Consumer Law that cannot be lawfully excluded.
8. Termination
8.1 Termination by Either Party
Either party may terminate services with 30 days' notice. Fees for work completed up to the termination date remain payable.
8.2 Immediate Termination
We may terminate services immediately if:
- Payment terms are breached and remain uncured for 15 days after notice
- Confidentiality obligations are breached
- Client conduct interferes with our ability to provide services
8.3 Survival
Provisions relating to confidentiality, intellectual property, payment obligations, and limitation of liability survive termination.
9. Dispute Resolution
9.1 Good Faith Resolution
The parties agree to attempt to resolve any dispute through good faith negotiation before pursuing formal legal action.
9.2 Mediation
If negotiation fails, disputes will be referred to mediation through a mutually agreed mediator in Adelaide, South Australia.
9.3 Jurisdiction
These terms are governed by South Australian and Commonwealth law. The courts of South Australia have exclusive jurisdiction over any legal proceedings.
10. General Provisions
10.1 Entire Agreement
These terms, together with any service agreement and our Privacy Policy, constitute the entire agreement between the parties.
10.2 Amendments
We may update these terms from time to time. Material changes will be notified to active clients. Continued use of services constitutes acceptance of updated terms.
10.3 Severability
If any provision is found to be unenforceable, the remainder of these terms remains in full force and effect.
10.4 Assignment
These terms are personal to the parties and may not be assigned without prior written consent.
